Huntsman and Olin Advance All-Stock Merger With Effective Registration Statement
Huntsman and Olin Advance All-Stock Merger With Effective Registration Statement
Olin and Huntsman report that the SEC declared effective the Form S-4 registration statement for their all-stock merger of equals, which would form a combined company called OlinHuntsman. Both companies have scheduled special shareholder and stockholder meetings for August 25, 2026, and completion is expected in the first half of 2027, subject to regulatory approvals and shareholder votes. The combined company expects more than $400 million of cost synergies and integration benefits, including more than $300 million of annual cost synergies by the end of year three.
If completed, the merger would link Olin's chlor-alkali and vinyls feedstock base with Huntsman's downstream formulations, potentially shifting chlorine, caustic soda and downstream supply economics across the U.S. Gulf Coast, Europe and Asia.

Market context
Chlorine and caustic soda are co-products of chlor-alkali production, made by electrolyzing brine, and they are essential to water treatment, pulp and paper, alumina refining, and chemical synthesis. Vinyls, including PVC, depend heavily on chlorine, while epoxies and chlorinated organics serve construction, electronics, automotive and composites applications. Because chlorine and caustic are produced in fixed ratios, demand swings in one product can push prices and operating rates for the other, making integrated producers with downstream outlets less exposed to merchant market volatility. Consolidation among large producers can also change how capacity is allocated across regions and how contracts are priced. Buyers and investors typically watch such combinations for shifts in feedstock access, plant utilization and competitive pricing, though completion depends on regulatory reviews and shareholder approval.
